2. Scope
These terms apply to the use of this website and to all offers, quotations, agreements and services relating to software development, consulting and maintenance delivered by Carrum d.o.o. ("Carrum", "we", "us") to a client ("Client", "you"). Deviations are valid only when agreed in writing.
3. Offers and agreements
Offers are non-binding unless stated otherwise and are valid for 30 days. An agreement is concluded when the Client accepts an offer in writing or when Carrum begins the performance of the services with the Client's consent. The agreed scope of work, deliverables and timeline are set out in the offer or statement of work.
4. Client obligations
The Client shall provide timely, complete and accurate information, materials, access and feedback required for the performance of the services, and shall designate a contact person authorised to make decisions. Delays caused by the Client may result in adjusted timelines and costs.
5. Prices and payment
Prices are stated in EUR and exclude VAT unless indicated otherwise. Unless agreed otherwise, invoices are payable within 15 days of the invoice date. Statutory default interest applies to late payments. Carrum may suspend the services if an undisputed invoice remains unpaid after a written reminder.
6. Changes to scope
Work not described in the agreed scope is treated as additional work and is quoted and invoiced separately, either at the agreed hourly rate or as a fixed price agreed in advance.
7. Delivery and acceptance
Delivery dates are estimates and not strict deadlines unless expressly agreed in writing. Deliverables are deemed accepted if the Client does not report substantiated defects in writing within 10 working days of delivery, or upon productive use of the deliverable.
8. Intellectual property
Upon full payment, the Client receives the rights to the custom source code and deliverables created specifically for the Client. Carrum retains ownership of its pre-existing know-how, frameworks, libraries and reusable components, and grants the Client a perpetual, non-exclusive licence to use them as part of the deliverables. Third-party and open-source components remain subject to their own licences.
9. Confidentiality
Both parties keep confidential all non-public information received from the other party and use it solely for the performance of the agreement. This obligation survives the termination of the agreement for five years.
10. Warranty
Carrum warrants that the services are performed with professional care. Reproducible defects in custom deliverables reported within 30 days of delivery are remedied free of charge. The warranty does not cover defects caused by changes made by the Client or third parties, incorrect use, or failures of third-party services and infrastructure.
11. Liability
Carrum's total liability under an agreement is limited to the amount invoiced for the services giving rise to the claim in the three months preceding the event. Carrum is not liable for indirect or consequential damages, including lost profit, lost data or business interruption. These limitations do not apply in the case of intent or gross negligence.
12. Term and termination
Ongoing engagements may be terminated by either party with 30 days' written notice. Either party may terminate with immediate effect in the event of a material breach that is not remedied within 15 days of written notice. Work performed up to termination is invoiced.
13. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including outages of infrastructure or third-party providers, strikes, or acts of authorities.
14. Governing law
These terms are governed by the law of the Republic of Slovenia. Disputes that cannot be resolved amicably fall under the exclusive jurisdiction of the competent court in Ljubljana.
